This Agreement sets out the core terms of engagement between Immercial Limited (“Immercial”, “we”, “us”, or “our”) and the client named above (“client” or “you”) and is governed by our Terms of SaleCharge-Out Fees, and Policy, which together form the full agreement between the parties.

Agreement may be confirmed by email, signature, or first invoice payment.

 

  1. Scope of Services

Immercial will provide consultancy services as scoped and discussed. Team composition and delivery methods are controlled by Immercial unless otherwise agreed.

Specific deliverables and assumptions are defined in writing at commencement and updated as needed in accordance with our Terms of Sale (Scope control provisions).

 

  1. Fee Structure

This engagement follows our published IMME Tiered structure (Tiers 1–3), charged per project and reviewed month-to-month. Each tier includes all core delivery costs (platforms, tools, systems, and UK-based operations).

If required, international travel is charged separately at our fixed all-inclusive rates, as set out in our Charge-Out Fees.

In exceptional cases, a separately scoped day-rate engagement may be agreed. Day-rate work remains outcome-led and does not imply general availability or open access.

 

  1. Working Hours & Location

We deliver flexibly from our Rickmansworth HQ and wider operating locations.
Site visits are occasional and purposeful.
Hours flex to support agreed timelines.

 

  1. Term, Notice & Withdrawal Rights

This Agreement operates on a rolling monthly basis and will continue unless terminated in accordance with this clause.

Either party may terminate this Agreement with one (1) month’s written notice.

In addition, Immercial may withdraw or suspend services in accordance with the Right to Withdraw provisions set out in the Terms of Sale, including where continuation of services:

  • risks professional integrity

  • introduces material business, commercial, or legal risk

  • creates obligations equivalent to employment, line management, or supply-chain administration

  • extends beyond the agreed scope or results in internal commercial dispute

Immercial also conducts periodic business, workload, and capacity reviews (including year-end reviews). Where, following such a review, continued engagement is no longer compatible with Immercial’s client mix, resource availability, or business growth requirements, Immercial may conclude the engagement at the end of the applicable review period without further notice, subject to completion of reasonable and essential handover activities.

During any notice, review, or withdrawal period, Immercial will complete only such reasonable and essential handover activities as are necessary to ensure continuity, with fees applying solely to those agreed works.

 

  1. Tier & Scope Adjustments

Where engagement requirements increase or reduce beyond the agreed tier, Immercial will propose a revised tier or scope for the following month.

Any changes must be agreed in writing in advance.

Where alignment on tier, scope, or commercial structure cannot be achieved, or where engagement concludes following a business review, Immercial may step away from the engagement.

All changes and withdrawals are governed by the Terms of Sale, including Section 4.7.

 

  1. Payment & Confirmation

Invoices are issued monthly.
Payment terms: 7 days from invoice date.

First payment constitutes full acceptance of this Agreement and supporting terms.

Persistent non-payment may result in suspension or termination under our Terms of Sale.

 

  1. Independent Consultancy Status

Immercial acts strictly as an independent consultancy, not an employee, agent, or representative of the client.

We:
• operate under our own control, systems, and methods
• do not provide general involvement or staff substitution
• are not under supervision, direction, or control of client teams
• have no authority to bind the client unless expressly authorised in writing

This positioning aligns with UK tax and employment law guidance.

 

  1. Confidentiality, Data & IMME Portal

Each party shall keep information confidential and use personal data only as required for service delivery.

Where our IMME Portal is used in delivery:

  • commercial and tender data remain controlled and secure
    • users retain responsibility for their own inputs and decisions
    • platform recommendations support client judgment, not replace it

Data handling follows our Policy and UK GDPR compliance.

 

  1. Supporting Documents

The client confirms access to the following which together with this Agreement form the full commercial contract:

  • Terms of Sale
    • Charge-Out Fees
    • Policy

In the event of inconsistency, the Terms of Sale take precedence, then this Agreement, then the Charge-Out Fees and Policy.

 

  1. Governing Law

This engagement is governed by the laws of England and Wales.
Jurisdiction: courts of England.

Applies only to the specifically agreed scope and days.

Day-rate work remains outcome-focused, not time-tracked.
It does not imply open access or ongoing involvement outside the agreed days.

If required, international travel is charged separately at fixed day-rates set out in the Charge-Out Fees schedule.
