Consultancy Agreement – Standard / Tiered Engagement

This Agreement sets out the core terms of engagement between Immercial Limited (“Immercial”, “we”, “us”, or “our”) and the client named above (“client” or “you”) and is governed by our Terms of Sale, Charge-Out Fees, and Policy, which together form the full agreement between the parties.
Agreement may be confirmed by email, signature, or first invoice payment.
1. Scope of Services
Immercial will provide consultancy services as scoped and discussed. Team composition and delivery methods are controlled by Immercial unless otherwise agreed.

Specific deliverables and assumptions are defined in writing at commencement and updated as needed in accordance with our Terms of Sale (Scope control provisions).
2. Fee Structure
This engagement follows our published IMME Tiered structure (Tiers 1–3), charged per project and reviewed month-to-month. Each tier includes all core delivery costs (platforms, tools, systems, and UK-based operations).
If required, international travel is charged separately at our fixed all-inclusive rates, as set out in our Charge-Out Fees.
In exceptional cases, a separately scoped day-rate engagement may be agreed. Day-rate work remains outcome-led and does not imply general availability or open access.
3. Working Hours & Location
We deliver flexibly from our Rickmansworth HQ and wider operating locations.
Site visits are occasional and purposeful.
Hours flex to support agreed timelines.
4. Term, Notice & Withdrawal Rights
This Agreement is rolling monthly and continues until ended.
Either party may terminate with one (1) month written notice.
In addition, Immercial may withdraw or suspend services under the Right to Withdraw provisions in our Terms of Sale where continuation:
• risks professional integrity
• introduces material business or legal risk
• forces duties equivalent to employment or supply-chain administration
• creates internal commercial disputes beyond agreed scope
During withdrawal notice, only essential handover work will be completed and fees apply only to those reasonable works.
5. Tier & Scope Adjustments
If engagement needs exceed or fall below the current tier, we will propose a revised tier or scope for the next month.
Changes require written agreement in advance.
Where alignment is not possible, we may step away with 1 month’s notice.
All changes follow Terms of Sale Section 4.7.
6. Payment & Confirmation
Invoices are issued monthly.
Payment terms: 7 days from invoice date.
First payment constitutes full acceptance of this Agreement and supporting terms.
Persistent non-payment may result in suspension or termination under our Terms of Sale.
7. Independent Consultancy Status
Immercial acts strictly as an independent consultancy, not an employee, agent, or representative of the client.
We:
• operate under our own control, systems, and methods
• do not provide general involvement or staff substitution
• are not under supervision, direction, or control of client teams
• have no authority to bind the client unless expressly authorised in writing
This positioning aligns with UK tax and employment law guidance.
8. Confidentiality, Data & IMME Portal
Each party shall keep information confidential and use personal data only as required for service delivery.
Where our IMME Portal is used in delivery:
• commercial and tender data remain controlled and secure
• users retain responsibility for their own inputs and decisions
• platform recommendations support client judgment, not replace it
Data handling follows our Policy and UK GDPR compliance.
9. Supporting Documents
The client confirms access to the following which together with this Agreement form the full commercial contract:
• Terms of Sale
• Charge-Out Fees
• Policy
In the event of inconsistency, the Terms of Sale take precedence, then this Agreement, then the Charge-Out Fees and Policy.
10. Governing Law
This engagement is governed by the laws of England and Wales.
Jurisdiction: courts of England.

This engagement is based on a defined day-rate scope.

• Applies only to the specifically agreed scope and days
Day-rate work remains outcome-focused, not time-tracked.
It does not imply open access or ongoing involvement outside the agreed days.
If required, international travel is charged separately at fixed day-rates set out in the Charge-Out Fees schedule.

This Agreement continues on a rolling basis unless ended.
Either party may terminate with one (1) month’s written notice.
Immercial may also suspend or withdraw in accordance with the Right to Withdraw provisions in our Terms of Sale where continuation would:
• compromise integrity or independence
• expose material legal, ethical, or operational risk
• create duties akin to employment or historical internal correction
• involve unresolved internal disputes or commercial sign-off chains
During withdrawal notice, only necessary handover support will be provided and fees apply only to those works.
5. Invoicing & Payment
Invoices will be issued [monthly / by milestone / on completion of booked days] — select one when initiating the engagement.
Payment due date: 7 days from invoice.
Failure to pay the first invoice on time may result in immediate suspension.
First payment constitutes acceptance of this Agreement and supporting terms.
6. Independent Consultancy Status
Immercial acts strictly as an independent consultancy, not an agent, representative, or employee.
We:
• operate under our own control, systems, and methods
• are not supervised, directed, or controlled by client teams
• are not integrated into internal resourcing structures
• have no authority to bind the client unless expressly authorised in writing
Aligned with UK tax and employment law distinctions.
7. Confidentiality, Data & IMME Portal
Confidential information shall be handled securely and used only as required for delivery.
Where the IMME Portal is used:
• users remain responsible for their inputs and commercial decisions
• visibility of tender/commercial data is controlled and must not be misused
• platform analytics support, but do not replace, client judgment
Data handling follows our Policy and UK GDPR.
8. Supporting Documents
The client confirms access to:
• Terms of Sale
• Charge-Out Fees
• Policy
These documents together with this Agreement form the entire commercial contract.
In case of conflict: Terms of Sale prevail, then this Agreement, then Charge-Out Fees and Policy.
9. Governing Law
This engagement is governed by the laws of England and Wales.
Exclusive jurisdiction: courts of England.
