The IMME Licence™ governs permitted use of specified templates, documents, methodologies, datasets, benchmark information, rate information, guidance, training materials and other intellectual property made available by Immercial Limited under this licence (“IMME IP”).

The purpose of the licence is to allow appropriate internal use of IMME IP while protecting:

  • Immercial’s intellectual property
  • source and version integrity
  • controlled commercial information
  • the distinction between official and adapted material
  • confidential and proprietary knowledge
  • appropriate use of AI
  • professional responsibility

This licence does not itself grant access to the IMME Portal, controlled datasets, client systems, professional services or other restricted resources. Those may be subject to separate access conditions, licences or engagement terms.

Where Immercial is professionally engaged, the relevant proposal, Consultancy Agreement or other written engagement terms govern the professional service and take precedence in relation to that engagement.

1. Licence Scope

Subject to compliance with this licence, Immercial grants users a limited, non-exclusive right to use IMME IP made available under the licence for permitted internal purposes.

The licence does not transfer ownership of any IMME IP.

All rights not expressly granted remain with Immercial Limited.

2. Permitted Internal Use

2.1 Internal business, project and study use

You may use IMME IP made available under this licence within your own organisation for legitimate internal purposes, including:

  • internal commercial activities
  • project work
  • professional development
  • internal training
  • study and learning

Use remains subject to any access restrictions, confidentiality obligations and project-specific requirements that apply.

2.2 Internal adaptation

You may adapt or modify templates or other material where such adaptation is appropriate for your internal use, provided that:

  • the adapted material is not presented as an unchanged official Immercial issue
  • applicable copyright, source and licence information is retained
  • Immercial intellectual property is not misrepresented
  • the adaptation remains subject to the restrictions in this licence

An internally adapted document becomes an organisation- or project-specific working version.

It does not become an official Immercial Method™ template or controlled IMME issue.

2.3 Internal sharing

Unmodified or appropriately adapted IMME IP may be shared with colleagues within the same organisation where required for the permitted internal purpose.

Recipients must use the material consistently with this licence.

2.4 Referencing the Immercial Method™

You may accurately refer to or describe the Immercial Method™.

Such reference must not imply that you or your organisation are:

  • certified
  • accredited
  • endorsed
  • authorised representatives
  • partners of Immercial

unless Immercial has expressly confirmed that status in writing.

3. Prohibited Use

Unless Immercial has expressly authorised otherwise in writing, you must not:

  • resell IMME IP
  • commercially repackage IMME IP
  • redistribute it externally as a standalone resource
  • publish controlled IMME IP on a public website
  • re-host it for third-party access
  • charge third parties for access to it
  • incorporate it into external training products
  • embed it into third-party software or commercial platforms
  • represent IMME IP as your own intellectual property
  • remove or obscure required source, copyright or controlled identifiers
  • represent adapted material as an official Immercial-controlled issue
  • use IMME IP to train, fine-tune or develop an external AI system except where expressly authorised

Commercial, enterprise, technology or redistribution rights require a separate written agreement with Immercial.

4. Official & Adapted Material

Only material issued or expressly approved by Immercial as an official controlled issue may be described as an official IMME resource.

Where official material contains identifiers such as:

  • Template ID
  • Version number
  • Watermark
  • Copyright notice
  • Licence text
  • Immercial Method™ branding

those identifiers should remain visible and unchanged unless Immercial expressly authorises otherwise.

Adapted material should be identifiable as an adaptation rather than an official unchanged issue.

This protects both the user and Immercial by maintaining clear provenance.

5. Version Control

Immercial may update controlled IMME resources over time.

Where current controlled information is required, users should obtain it through an official Immercial-controlled source, including where applicable:

  • the Immercial website
  • the IMME Portal
  • authorised Immercial systems
  • controlled client-delivery channels
  • material issued directly by Immercial

Superseded material may be retained where legitimately required for historical project records, but it should not be represented as the current controlled Immercial version.

6. Attribution

Where attribution is included within IMME IP, it must be retained.

Where a general attribution is appropriate, the following may be used:

Use of Immercial names, marks or branding does not grant any right to imply endorsement, accreditation, partnership or affiliation.

7. IMME AI & External AI

IMME AI is a controlled, domain-specific support capability within Immercial’s commercial delivery ecosystem.

It may use governed Immercial knowledge including relevant:

  • methodologies
  • templates
  • commercial guidance
  • benchmark information
  • rate information
  • proprietary commercial knowledge

IMME AI supports activities such as information retrieval, structure, analysis and specialist review.

It does not replace project-specific professional judgement.

External AI restriction

Unless expressly authorised in writing by Immercial, IMME IP must not be used to:

  • train an external AI model
  • fine-tune an external AI model
  • build an external knowledge base or retrieval system
  • develop competing AI functionality using IMME IP
  • systematically extract proprietary Immercial knowledge for incorporation into another digital product

Users must also consider confidentiality, information-security and client requirements before placing any project or proprietary information into third-party AI services.

8. Controlled Systems & Proprietary Information

This licence does not give users a right to reproduce, extract, reverse engineer or commercially exploit Immercial’s proprietary systems, software, system logic or controlled datasets.

Access to resources including the IMME Portal, proprietary benchmark datasets, QSOR, commercial systems and other controlled functionality may be subject to:

  • authentication
  • permissions
  • engagement-specific access
  • separate licence terms
  • confidentiality requirements
  • commercial arrangements

Access to a system does not transfer ownership of the underlying intellectual property.

9. Benchmarks, Rates & Commercial Information

Where IMME IP includes benchmark information, rate information or other commercial references, that information must be considered in its appropriate context.

Relevant considerations may include:

  • project type
  • scope
  • specification
  • scale
  • date
  • location
  • programme
  • procurement basis
  • quantity
  • market conditions
  • assumptions and limitations

Such information supports commercial assessment.

It does not constitute an automatic project-specific recommendation or substitute for appropriate professional review.

10. Professional Responsibility

The Immercial Method™, templates, benchmarks, QSOR, systems and AI-supported resources are intended to support commercial work.

They do not remove the requirement for appropriate:

  • competence
  • project knowledge
  • evidence review
  • contractual understanding
  • commercial reasoning
  • validation
  • professional judgement

Users remain responsible for deciding whether information is appropriate for their particular circumstances.

Where Immercial is professionally engaged, responsibility for Immercial’s service outputs is governed by the applicable written engagement terms.

11. Confidentiality & Third-Party Information

This licence does not override any confidentiality, data-protection, information-security or contractual obligations applying to project or third-party information.

Users are responsible for ensuring that their use of IMME resources does not result in unauthorised disclosure of:

  • client information
  • project information
  • personal data
  • third-party intellectual property
  • confidential commercial information

Engagement-specific restrictions take precedence where they impose additional controls.

12. Certification, Accreditation & Endorsement

Use of IMME IP does not by itself grant:

  • certification
  • accreditation
  • professional qualification
  • endorsement
  • authorised-user status
  • partnership
  • affiliation with Immercial

Any certification, accreditation or other formal status must be expressly granted by Immercial under the applicable programme or written agreement.

13. Compliance & Misuse

Where appropriate, Immercial may take proportionate steps to protect its intellectual property and confirm compliance with this licence.

This may include:

  • requesting removal of unauthorised copies
  • requesting correction of misleading attribution
  • confirming the status or version of controlled material
  • requesting that adapted material is not represented as an official Immercial issue
  • restricting access to controlled systems following misuse
  • withdrawing permissions where this licence is materially breached

The purpose is to protect intellectual property, provenance and appropriate professional use.

14. No Transfer of Intellectual Property

All intellectual property rights in the Immercial Method™, IMME IP, proprietary systems, software, datasets, methodologies, branding and know-how remain owned by or licensed to Immercial Limited.

Nothing in this licence transfers ownership to the user.

15. Separate Commercial Permissions

If you wish to:

  • commercially distribute IMME IP
  • incorporate it into a commercial product
  • embed it within software
  • provide it to third parties as part of a training product
  • obtain organisation-wide technology rights
  • integrate IMME material into another platform
  • make another commercial use outside this licence

please contact Immercial to discuss an appropriate written licence or commercial agreement.

16. Acceptance

By accessing, downloading or using IMME IP made available under the IMME Licence™, you agree to comply with the terms of this licence.

If you do not agree to these terms, you should not use the relevant IMME IP.

17. Governing Law

This licence is governed by the laws of England and Wales.

The courts of England and Wales shall have jurisdiction in relation to disputes arising from this licence, subject to any different terms expressly agreed in writing with Immercial.
